Terms of service
Last updated 13 August 2026
Overview
The terms below apply to any engagement with Captivela: business entity status, service scope, payment terms, how to end the engagement, and the limits on our liability. If you have a separate signed written agreement, that agreement governs wherever it differs from this page.
Business entity status
Captivela currently operates as a sole proprietorship, not a registered legal entity.
That means your contract is with the business owner personally, not with a limited company (a PT under Indonesian law). We are stating this upfront because some organizations have procurement policies that require a vendor to be a registered legal entity. Better you know now than after the process is already underway.
We plan to incorporate as our active client count grows. When that happens, clients under an active engagement will be notified in writing and the agreement will transfer to the new entity without changing the pricing already agreed. Until then, this page states our actual status.
Scope: what is included
- Meta Ads and Google Ads campaign management, on packages that include it.
- Social media content and posting schedule, on packages that include it.
- Building and maintaining a website built to receive leads.
- SEO for local search and pages built to be found.
- Setting up and maintaining a cross-channel lead capture system.
- Follow-up flows with a human approval step before any message goes out.
- Keeping the CRM or pipeline spreadsheet you use clean.
- Periodic reporting with numbers you can trace yourself.
- Company Brain, as a separately agreed add-on, not part of any package.
- Strategic advisory for growth decisions, on packages that include it.
- Direct coordination with your internal team, on packages that include it.
- Cross-branch system design, on packages that include it.
Scope: what is not included
- Commercial video production, TVC, and large-scale shoots.
- Brand strategy from scratch, such as positioning, naming, and visual identity.
- Medical, clinical, legal, tax, or licensing consultation.
- Sensitive data outside the marketing context, including medical records.
- Answering prospective buyer chats directly as your staff.
- Guaranteed search rankings or guaranteed exact result figures.
- Integration into closed systems without an API, unless quoted separately.
Payment terms
Package pricing is agreed directly with you and confirmed in writing before work starts.
The monthly retainer is billed in advance. Invoices are issued 7 days before the due date.
Ad spend is billed separately, minimum $1,000 per month, paid directly by you to the ad platform, not through us.
We do not take a commission on your ad spend. Zero percent, no exceptions.
Payment more than 14 days late means we pause new work until the invoice is settled. We do not switch off systems that are already running.
Ad spend never passes through our account. You pay Meta, Google, or any other platform directly with your own payment method. We do not mark up ad billing and do not take a cut from the platform. Our fee is only the package number written in the proposal.
Ending the engagement
Either party can end the engagement with 30 days written notice. The period already running is completed and billed as normal. There is no termination penalty.
Before our access is revoked, you receive a CSV export of all lead data, documentation of the flows that were running, and a list of connections that need to be handed off. Free, within 5 business days.
Ad accounts, the WhatsApp number, and spreadsheets stay in your name from day one. When the engagement ends, we simply remove ourselves from the access list. There is nothing for you to ransom back.
We can also end the engagement with the same notice if the scope drifts far from what was agreed, if an invoice is more than 30 days overdue, or if we are asked to do something that violates platform policy or applicable law.
Limits on our liability
We do not promise a specific result figure. Marketing operations work improves systems and reduces leakage, but the final result also depends on the quality of your product or service, your pricing, how fast your team responds, and market conditions. Anyone who guarantees an exact number is selling something they cannot control.
Our total liability for any claim related to this service is capped at the service fees you paid us in the 3 months before the claim arose. Ad spend is not counted, since we never receive it.
We are not liable for indirect losses such as lost expected profit, lost opportunity, or reputational damage. We are also not liable for disruption caused by third parties outside our control, for example an ad account suspension by the platform, a Meta or Google policy change, or a WhatsApp service outage.
The cap above does not apply to gross negligence, deliberate breach of confidentiality, or anything Indonesian law does not allow to be limited. Obligations concerning personal data are governed by the signed Data Processing Agreement, which references Indonesia’s Personal Data Protection Law (UU PDP No. 27 of 2022).
This agreement is governed by the law of the Republic of Indonesia. If a dispute arises, both parties agree to pursue good faith discussion (musyawarah) before any other channel.
If anything here needs clarifying
Send us the question before you sign anything. We would rather explain it now than argue about interpretation partway through the engagement.
